What is integrity due diligence
Integrity due diligence is also known as third-party due diligence. An integrity due diligence investigation identifies risks that are not readily apparent in other due diligence investigations, as it focuses on the integrity risks of the parties you wish to do business with. These parties can include:
- merger or acquisition candidates
- manufacturers
- suppliers
- franchisees, distributors or agents
- business partners and relations
Our approach: what does an integrity due diligence investigation involve?
The nature, content and scope of the investigative acts involved in each integrity due diligence investigation vary but are always proportionate to the integrity risks to be managed in relation to the business interests. Possible investigative acts include:
- investigation into the integrity of the director(s) and/or the Ultimate Beneficial Owner (UBO)
- corporate social responsibility auditing
- compliance auditing
- investigations into corruption and bribery
Hoffmann’s approach is thereby distinctive because of our focus on the director(s) behind the company; we do not work with a standard due diligence checklist. Many other third-party due diligence investigations focus, through auditing, primarily on financial, tax, legal and commercial aspects. Hoffmann analyses the director’s integrity not only through screening and an open-source investigation, but also through personal interviews with the director and with references. The director does need to be willing to cooperate, but it is our professional opinion that this is the only reliable way to properly identify integrity risks.
